1. This licence

1.1 This licence is between Scaled Minds (d/b/a), operator of eMailPlane, with its address at 4030 Wake Forest Rd Ste 349, Raleigh, NC 27609, USA ("we", "us"), and the business that installs or uses the eMailPlane software ("you"). It is part of our Terms of Service.

1.2 "Software" means the eMailPlane programs we provide for you to install on your own server, in the form we provide them (built programs and container images), including updates, and their documentation. It does not include the third-party components described in section 6.

1.3 You accept this licence when you accept the Terms of Service, or when you install or use the Software.

2. What you may do

2.1 While you have an active plan, we give you a non-exclusive, non-transferable licence, without the right to sublicense, to install and run the Software on servers you control, for your own business purposes, within the limits of your plan. Your business purposes include providing email to your own clients for their domains, if you are an agency or service provider.

2.2 Before you buy a plan, the same licence applies for setting up and testing, within the free testing limits.

2.3 You may make the copies you need to run, back up and recover the Software on your servers.

2.4 Your plan is recorded in a signed licence file on your server. The licence follows your subscription: when you renew, upgrade or downgrade, you get a new licence file.

3. What you may not do

You must not, and must not let anyone else:

4. When your plan lapses or ends

4.1 Your mail keeps working. If your plan lapses, is downgraded, or you cancel, the Software keeps running your existing domains, mailboxes and addresses, and incoming mail keeps arriving. Adding new domains or new people who log in is limited to the free testing limits until you renew.

4.2 Continuing licence. When your plan ends for any reason, you keep a non-exclusive, non-transferable, perpetual licence to keep running the copies of the Software you already have installed, for the domains and mailboxes already set up on them, within the free testing limits for anything new. This continuing licence ends only if you break section 3, use the Software to send mail that breaks the Acceptable Use Policy, or break section 9.

4.3 No switch-off. The Software checks your licence on your server, without contacting us, and contains no means for us to switch it off. If this licence ends, we rely on our legal rights, not on technical means.

4.4 When your plan ends, our services stop as the Terms of Service describe, including our delivery network beyond your own verified addresses, updates and support.

5. Updates and your data

5.1 We may provide updates. Some updates may be needed to keep using our delivery network or other services safely.

5.2 The Software stores your mail, mailboxes, keys and settings on your server. It does not send us information about your use. When you choose to use our delivery network, your server connects to it to carry your mail and to register your domains and their public signing keys, as our Data Processing Agreement describes.

6. Third-party components

6.1 The Software runs alongside third-party components, such as the mail server, database and virus scanner, each in its own container. They are licensed to you under their own licences, not this one, and nothing in this licence limits your rights under those licences.

6.2 They run unmodified. Our third-party software page lists each component, its version, its licence, and where to get its source code.

7. Ownership

The Software is licensed, not sold. We and our licensors keep all rights in it that this licence does not expressly give you.

8. Checking licence use

Once every 12 months, on reasonable notice, we may ask you to confirm in writing the servers and domains you run the Software on. If you are using more than your plan allows, you will pay for the extra use at our current prices from when it began. We will not visit your premises or access your servers to check.

9. Export and sanctions

9.1 The Software contains encryption and is subject to the US Export Administration Regulations (15 C.F.R. Parts 730 to 774) and to economic sanctions administered by the US Department of the Treasury's Office of Foreign Assets Control. We have self-classified the Software under Export Control Classification Number 5D992.c or, where that does not apply, 5D002 under License Exception ENC (15 C.F.R. § 740.17(b)(1)).

9.2 You confirm that:

9.3 You will not export, re-export, transfer or make the Software available, directly or indirectly, to a Restricted Location or a Restricted Party, or otherwise in breach of export control or sanctions laws, and you are responsible for any licence those laws require for your own transfers.

9.4 We may suspend or end your licence and refuse service straight away, without liability, if we reasonably believe this section is being broken. This section survives the end of this licence.

10. Warranty and liability

The warranties, disclaimers, intellectual property indemnity and limits of liability in the Terms of Service apply to the Software. During the beta, the Software is provided as it is, without warranty.

11. Ending this licence

11.1 Your licence under section 2 ends when your plan ends, and section 4 then applies.

11.2 If this licence ends under section 4.2, you must stop using the Software and delete it, after giving yourself a reasonable time to move your mail elsewhere.

12. Law

This licence is governed by the law of the State of North Carolina, USA, and the state and federal courts for Wake County, North Carolina, have exclusive jurisdiction, the same as the Terms of Service.
